He has extensive experience advising emerging companies on all matters of corporate governance and standard business practices to help avoid common pitfalls and realize companies’ organizational goals and full potential.

Damien’s practices on the bleeding edge of innovation in the Web3 industry. His forward-thinking advice found him working for CoinList, a leading token sale platform and exchange, counseling on all product offerings to provide strategic legal advice and establish relevant compliance functions. His experience includes assisting the team at CoinList in obtaining FINRA authorization to operate one of the first broker-dealers to conduct private placements of digital asset securities. He then served as the Chief Compliance Officer of that broker-dealer.

Damien is a contract attorney with experience drafting and negotiating all manner of contracts, including, licensing agreements (including music and software licensing), intercreditor agreements, asset leases and dispositions, in addition to myriad commercial agreements. He has worked across the table businesses and projects in the blockchain, DeFi, distributed ledger, NFT, gaming and the larger Web3 space. He frequently comments on policy issues in the new regulatory sphere coalescing around digital assets.

Prior to entering the crypto industry in 2017, Damien worked at several premier New York law firms advising on M&A matters, various public and private securities issuances, as well as providing regulatory advice. Damien drafted and advised on public disclosures in compliance with ‘34 Act obligations. He represented a multinational mining client in connection with the disposition of a Brazilian project asset.
